AGREEMENT, RIGHTS, AND RELEASE FOR VIRTUAL EDUCATION ATTENDEES

YAY Concierge LLC, a Rhode Island limited liability company, creates, markets and promotes services and Virtual Experiences,
such as live workshops including food and beverage experiences, culinary tutorials, and live demonstrations (the “Virtual
Experience”). In connection with these efforts, YAY Concierge LLC desires to include you in connection with the Virtual
Experience defined above.

By signing up to participate in the Virtual Experience, for good and valuable consideration the receipt and sufficiency of which is
hereby acknowledged, you acknowledge, represent, warrant and agree to the following:

You are at least 18 years of age (or of legal drinking age where applicable). You agree that the Virtual Experience provided is
solely for your personal and non-commercial use. You agree that the use of the Zoom platform by you will be conducted through
your Zoom account; and you agree to comply with all terms applicable to the use of the Zoom platform apply, including the Zoom
platform terms of service and privacy policy (https://zoom.us/terms and https://zoom.us/privacy). You acknowledge that the
service may include up to 100 attendees who will participate in the Virtual Experience.

You are solely responsible for purchasing and payment of all items on the shopping list sent in advance. This amount is in addition
to the Virtual Experience Ticket fee.

You acknowledge your participation is to observe or to actively participate in the Virtual Experience, ask questions, comments and
enable the use of your microphone and camera on the Zoom feature which is open to all attendees participating on the Virtual
Experience. You are responsible for a reliable network connection and computer, or other device, with capabilities to access the
Virtual Experience and shall hold YAY Concierge LLC harmless for any network connection issues that you experience.

You acknowledge that each ticket is good for one device (for example, computer, tablet, telephone, etc.). You are responsible for
managing the display name that may be shown to other participants. You agree not to take any steps to record the Virtual
Experience, its instructors or any information regarding other participants in the Virtual Experience, nor will you solicit or
otherwise pitch any products to other participants or observers through YAY Concierge’s LLC digital properties including Zoom
and all social platforms, nor in any way related to the Virtual Experience. You acknowledge that if you are found to have done so,
YAY Concierge LLC has the right to remove you from the experience (without refund) at their discretion.

You acknowledge that YAY Concierge LLC may at its discretion record the Virtual Experience after the live tutorial (including
any questions or commentary you may have provided) and use it for promotional and marketing material of the Virtual Experience.

You hereby acknowledge that YAY Concierge LLC has used its best efforts to implement appropriate security measures to ensure
the safety and security of the Virtual Experience, including without limitation, providing a private Zoom link to access the service,
approving all attendees, obtaining signed releases from all attendees, and monitoring the Virtual Experience in real-time.

YAY Concierge LLC takes abusive and offensive behavior very seriously and wants to ensure that events are secure and free from
inappropriate behavior. YAY Concierge LLC reserves the right to turn a participant’s video off. This will allow YAY Concierge
LLC to block unwanted, distracting, or inappropriate gestures on video. YAY Concierge LLC also reserves the right to
mute/unmute individual participants or all of them at once. YAY Concierge LLC can block unwanted, distracting, or inappropriate
noise from other participants.

YAY Concierge LLC further reserves the right to remove and block someone from an event if it determines, in its sole discretion,
that the participant has engaged in inappropriate conduct, including, but not limited to nudity, use of obscene language, racism,
sexual inappropriate actions, abusive, harassment, violent, or other offensive behavior. The participant engaging in such conduct
shall not be entitled to any refund of fees paid to YAY Concierge LLC and shall hold YAY Concierge harmless and indemnify
YAY Concierge from any and all claims and damages resulting from such conduct.

As a participant, you further agree to hold YAY Concierge LLC from any and all claims from injuries, damages, or losses,
resulting from another participant’s actions or conduct.

To the extent you post public photos, images, videos or other material to social media or to YAY Concierge’s LLC Instagram,
Pinterest, LinkedIn and Facebook accounts, referencing the Virtual Experience and/or YAY Concierge LLC, you hereby grant
YAY Concierge LLC the right to repost such materials in connection with the promotion and marketing of the Virtual Experience.
YAY Concierge LLC will be held harmless for any claims, damages, or injuries resulting from participating in the Virtual
Experience, related to causes including but not limited to alcohol use or adverse reaction to any other materials consumed as part
of the Virtual Experience.
